Agentiq provides a platform for reviewing and, where legally permitted, submitting subscriptions for Units offered by individual Series of Agentiq Sports 1 Series LLC.
Offering and subscription process
Review the offering materials. Read the applicable Offering Circular, including the Series terms, risk factors, use of proceeds, plan of distribution, fees, and financial information. The Offering Circular controls over any platform summary.
Complete eligibility checks. Account verification, KYC/AML review, investor-status requirements, investment limits, and lawful-jurisdiction requirements must be satisfied.
Submit a subscription. Select an amount, sign the subscription agreement, and provide the required funding information.
Wait for acceptance. A submitted subscription is not final merely because it was entered or funded. It remains subject to the Offering Circular, subscription agreement, investor eligibility, lawful jurisdiction, and acceptance by the applicable Series.
Issuance after acceptance. If the subscription is accepted and funds clear, the applicable Series issues Units and records the investor’s interest.
Andes Capital Group, LLC conducts offerings on a best-efforts basis. It is not required to purchase Units or assure that any minimum or other amount will be sold.
What the Units represent
The Units are membership interests in the applicable Series—not ownership of an athlete or of Agentiq as a whole. The Series holds contractual rights under a Brand Advisory Agreement. Unit holders are not parties to that agreement and cannot enforce it directly.
Distributions and liquidity
When an athlete earns qualifying compensation at the highest applicable professional level, the Brand Amounts payable to the Series are generally expected to equal the applicable Brand Percentage multiplied by the athlete’s gross qualifying earnings before athlete-level taxes, as defined in the Brand Advisory Agreement. After those amounts are received, pro rata distributions to Unit holders are expected quarterly from available Free Cash Flow. Series operating fees and expenses are currently expected to be negligible relative to Brand Amounts received, but actual expenses, taxes, reserves, other obligations, timing, and Manager discretion may affect the amount available. Distributions and returns are not guaranteed, and the Offering Circular controls.
No public trading market currently exists. Any future approved ATS, investor access, execution, liquidity, or resale price is not assured.
SEC qualification permits sales; it is not SEC approval, recommendation, endorsement, or a suitability determination. The Units are speculative and may result in total loss.
