Agentiq provides information and subscription access for securities offerings by individual Series of Agentiq Sports 1 Series LLC. It is not an “athlete stock market,” and investors do not purchase an athlete, an athlete’s employment contract, Agentiq as a whole, the Manager, or another Series.
What an investor purchases
An investor whose subscription is accepted purchases Units of limited liability company membership interest in the applicable Series. Each Series is legally distinct, and its primary asset is a contractual right under a Brand Advisory Agreement to receive defined Brand Amounts, subject to that agreement’s terms.
Unit holders are not parties to the Brand Advisory Agreement and do not directly own or control the athlete, the athlete’s name, image or likeness, employment contract, endorsements, or career decisions.
Potential distributions
Under the offering structure, when an athlete earns qualifying compensation at the highest applicable professional level—such as MLB rather than MiLB, or the NFL rather than a lower-tier or alternative league—the Brand Amounts payable to the Series are generally expected to equal the applicable Brand Percentage multiplied by the athlete’s gross qualifying earnings before athlete-level taxes, as defined in the Brand Advisory Agreement. After the Series receives those amounts, pro rata distributions to Unit holders are expected quarterly from available Free Cash Flow. Series operating fees and expenses are currently expected to be negligible relative to Brand Amounts received, but actual expenses, taxes, reserves, other obligations, timing, and Manager discretion may affect the amount available. Offering documents control

SEC qualification permits sales of the qualified offering. It is not SEC approval, recommendation, endorsement, or a determination that the investment is suitable for any investor.
Liquidity
No public trading market currently exists for the Units. A future approved alternative trading system may be pursued, but its launch, investor access, order execution, liquidity, and acceptable resale pricing are not assured.
