Learn how athlete earnings may produce distributions to Unit holders, how distribution amounts are calculated, and how payments work.
When distributions may begin
A Series may make a distribution after it receives qualifying Brand Amounts arising from the athlete’s compensation and has Free Cash Flow available for distribution. Brand Amounts are generally expected to equal the applicable Brand Percentage multiplied by the athlete’s gross qualifying earnings before athlete-level taxes, as defined in the Brand Advisory Agreement.
Once those conditions are met, distributions are generally expected quarterly. Agentiq will notify eligible Unit holders and provide the payment date and applicable instructions after a distribution is declared.
Earnings that may qualify
The offering structure is intended to capture specified compensation earned at the athlete’s highest applicable professional level. For example, depending on the applicable agreement:
MLB compensation may qualify while MiLB compensation does not; and
NFL compensation may qualify while compensation from an arena, alternative, or lower-tier league does not.
Depending on the applicable Brand Advisory Agreement and Offering Circular, qualifying compensation may include specified salary, signing bonuses, performance bonuses, prize money, or other covered compensation. Endorsements, sponsorships, appearances, NIL revenue, media income, and other categories should not be assumed to qualify unless the offering documents expressly include them.
How distribution amounts are calculated
After a Series receives qualifying Brand Amounts and has available Free Cash Flow, the amount available for distribution is generally allocated pro rata among outstanding Units.
The Manager deducts a 2.5% maintenance fee from all distributions.
The amount and timing of a distribution may still vary based on:
the amount and timing of qualifying Brand Amounts actually received by the Series;
taxes, reserves, and other Series obligations;
adjustments or exclusions under the Brand Advisory Agreement;
the number and terms of outstanding Units; and
the Manager’s decisions under the governing documents.
If the athlete has no qualifying earnings during a period, or if the related Brand Amounts have not yet been received, there may be little or no Free Cash Flow available for that quarter.
Receiving and withdrawing distributions
When a distribution is declared, Agentiq will notify eligible Unit holders and credit the amount using the payment method described in the applicable Series documents and current platform instructions.
If a distribution is credited to an available cash balance, current withdrawal instructions, timing, and minimums will be shown in the account experience or provided by support. A credited amount may be subject to account verification, holds, banking cutoffs, or other applicable requirements before withdrawal. There are no withdrawal fees associated with distributions.
Reinvesting distributions
There is no automatic reinvestment right. If a distribution is credited to an available cash balance, an investor may be able to use those funds for a separate offering if the platform permits that funding method and the investor completes a new subscription.
Any new subscription remains subject to the applicable Offering Circular, subscription agreement, eligibility and investment limits, lawful jurisdiction, KYC/AML review, cleared funds, and acceptance by the applicable Series. A prior investment or distribution does not guarantee allocation or acceptance in another offering.

The applicable Brand Advisory Agreement, Offering Circular, and Series documents define the controlling Brand Percentage, qualifying compensation, deductions, allocation method, and distribution provisions. Those documents control. SEC qualification permits sales of the qualified offering; it is not SEC approval, recommendation, endorsement, or a suitability determination.
