An athlete-linked offering is an offering of Units by a specific Series of Agentiq Sports 1 Series LLC. It does not give an investor ownership of an athlete or direct rights under the athlete’s employment, endorsement, NIL, or other personal agreements.
How the structure works
The applicable Series offers Units under an Offering Circular.
The Series’s primary asset is a Brand Advisory Agreement that may entitle it to defined Brand Amounts, subject to the agreement’s terms.
Investors submit subscriptions that remain subject to eligibility, jurisdiction, the subscription agreement, and acceptance by the Series.
When the athlete earns qualifying compensation at the highest applicable professional level, the Brand Amounts payable to the Series are generally expected to equal the applicable Brand Percentage multiplied by gross qualifying earnings before athlete-level taxes, as defined in the Brand Advisory Agreement. After those amounts are received, pro rata distributions to Unit holders are expected quarterly from available Free Cash Flow. Series operating fees and expenses are currently expected to be negligible relative to Brand Amounts received, but actual expenses, taxes, reserves, other obligations, timing, and Manager discretion may affect the amount available.
Unit holders are not parties to the Brand Advisory Agreement and cannot enforce it directly. No distribution, return, appreciation, or repayment of principal is guaranteed.

The Units are speculative and may lose all value.
Actual Brand Amounts may differ from projections or may not be collected as expected.
Distributions are expected when the Series receives qualifying Brand Amounts and has available Free Cash Flow, but they are not guaranteed and may vary or be delayed.
No public trading market currently exists.
A future approved ATS, access to it, order execution, liquidity, and acceptable resale pricing are not assured.
