Eligibility is determined for each offering under its Offering Circular, subscription agreement, applicable law, and the Series’s acceptance procedures. Availability should not be assumed based only on citizenship, residency, age, or account creation.
General requirements
A prospective investor must typically:
be at least 18 years old;
complete required identity, KYC/AML, sanctions, and other compliance checks;
be in a jurisdiction where the offering and sale are lawful;
satisfy the investor-status and investment-limit requirements in the Offering Circular; and
submit a subscription that is accepted by the applicable Series.
Under Tier 2 of Regulation A, non-accredited natural persons are generally subject to an investment limit based on 10% of the greater of annual income or net worth, subject to the rules, definitions, exceptions, and specific terms described in the Offering Circular. Accredited status does not eliminate other eligibility, jurisdictional, or acceptance requirements.
International, state, and territory availability may vary. Do not rely on a statement that an offering is available in every state, territory, or country; review the current offering materials and account flow.
A submitted subscription is not automatically accepted. The Series may accept or reject it in accordance with the Offering Circular and subscription agreement. SEC qualification permits sales; it is not SEC approval, recommendation, endorsement, or a suitability determination.
